These Terms of Service ("Agreement") set forth the general terms and conditions of your use of the Ravenist website ("Website" or "Service" or "Ravenist") and any of its related products and services (collectively, "Services"), operated by JustNFTs LLC, a limited liability company registered in the United States. Ravenist, a project and product of JustNFTs LLC ("JustNFTs", "we", "us", or "our"), functions as an Asset Marketplace, facilitating the buying, selling, and bidding of digital assets, including non-fungible tokens (NFTs), digital goods (e.g., digital art, media, software), and tokenized real-world assets (RWAs) (e.g., real estate, collectibles) on the Ravencoin blockchain (RVN) and other supported blockchains (EVR, MEWC, NEOX). By accessing or using the Services, you ("User", "you", or "your") agree to be bound by this Agreement. This Agreement is a legally binding contract between you and JustNFTs LLC, even though it is electronic and not physically signed by you. If you do not agree to these terms, you are not authorized to use the Services.

1. General Terms and Definitions

1.1 Eligibility: To use the Services, you must be at least 18 years old and have the legal capacity to enter into this Agreement. By using the Services, you represent and warrant that you meet these requirements.

1.2 Account Creation: You must create an account to use certain features of the Services (e.g., buying, selling, bidding). You are responsible for providing accurate information during registration, including your email address and phone number, which are required for one-time passwords (OTPs), bidding, buying, selling, and invoices. We collect and process this information in accordance with our Privacy Policy and applicable privacy laws (see Section 13 Privacy and Data Protection). Providing false information may result in account termination.

1.3 Account Security: You are responsible for maintaining the security of your account, including your email, phone number, and authentication app (e.g., Google Authenticator). JustNFTs LLC may monitor and review new accounts before you can sign in and start using the Services. You are fully responsible for all activities that occur under your account, and JustNFTs LLC is not liable for unauthorized access due to your failure to secure your account.

1.4 Supported Blockchains: Ravenist operates on the Ravencoin blockchain (RVN) and may support additional blockchains such as EVR, MEWC, and NEOX. All transactions are processed on these blockchains, which are public and immutable. JustNFTs LLC does not control the operation or performance of these blockchains.

1.5 Custodial Wallet: Ravenist provides a custodial wallet for storing your assets (e.g., RVN, NFTs). Private keys are securely stored by JustNFTs LLC in a combination of online and offline systems. Withdrawals from the custodial wallet require manual confirmation by JustNFTs LLC and an OTP sent via email, SMS, or an authentication app (e.g., Google Authenticator).

1.6 Verification and KYC Requirement: Ravenist verifies certain users and collections via Blockpass, a third-party KYC provider, to enhance trust and comply with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. Verified users and collections receive a "Verified - Blue Check" status. Verification is optional but recommended for sellers to increase buyer confidence. Users opting for verification must provide government-issued identification, proof of address, and other details as required by Blockpass. This data is processed in accordance with our Privacy Policy and applicable privacy laws (see Section 13 Privacy and Data Protection). You agree to comply with all applicable AML/CTF laws, and JustNFTs LLC reserves the right to report suspicious activity to relevant authorities, including freezing or terminating your account if required by law.

1.7 Not a Securities Platform: JustNFTs LLC is not registered with the U.S. Securities and Exchange Commission (SEC) to sell securities. All listed assets, including NFTs and Ravenist Tokens (RT), are utility tokens and should be treated as such by buyers. NFTs underlying collectibles (e.g., digital art) are considered finished products whose value is determined at the point of sale, not as securities. Tokenized RWAs (e.g., real estate, collectibles) may be subject to additional regulatory requirements (e.g., property laws, securities laws in some jurisdictions). You are solely responsible for ensuring compliance with applicable laws when trading RWAs, and JustNFTs LLC is not liable for any legal or regulatory consequences arising from such transactions. Buyers are responsible for conducting their own due diligence to understand the nature of the assets they purchase.

1.8 Service Availability: JustNFTs LLC strives to ensure the Services are available, but there may be interruptions or delays due to internet connectivity, blockchain performance, or hosting provider issues. JustNFTs LLC is not liable for any interruptions, delays, or inability to function, including lost profits or special damages.

1.9 Ravenist Tokens and Community Governance: Ravenist Tokens (RT) are utility tokens used to list assets on the platform and access premium features (e.g., advanced analytics, priority support). RT holders may participate in community governance, including voting on platform direction and attending quarterly meetings (virtual or in-person). Governance participation is verified via wallet token balance, and JustNFTs LLC retains the final decision-making authority on platform operations.

1.10 Royalty Fees: Sellers may set a royalty fee (e.g., 3%–10%) on their assets, which is automatically deducted from the sale price during secondary sales and paid to the original creator. JustNFTs LLC facilitates royalty payments but is not responsible for ensuring their distribution if blockchain or wallet issues prevent payment.

1.11 Bounty Reward System: Ravenist may issue bounty rewards in the form of Ravenist Tokens (RT) to users for contributions to the platform, such as reporting bugs, suggesting improvements, or participating in community initiatives (e.g., resolving collection sorting issues). Eligibility for bounty rewards, the amount of RT awarded, and any associated conditions will be determined at JustNFTs LLC’s sole discretion. Bounty rewards are intended to incentivize community participation and do not constitute a financial return or investment. All rewards will be publicly logged in the activity log and may be shared in community channels (e.g., Discord) for transparency. You are solely responsible for any tax obligations (e.g., income tax, VAT) arising from receiving bounty rewards, and JustNFTs LLC may report such rewards to tax authorities as required by law.

2. User Conduct

2.1 Prohibited Activities: You agree not to engage in any of the following activities while using the Services:

2.2 Consequences of Violation: JustNFTs LLC reserves the right to suspend or terminate your account, freeze your assets, or take legal action if you violate this Agreement or engage in prohibited activities. In the event of account suspension due to insufficient funds, your account will be placed in a negative status until funds are returned, at which point it will be returned to active status. JustNFTs LLC offers no warranties and will not be liable for covering any lost monies.

3. Buying, Selling, and Bidding

3.1 Listing Assets: Sellers may list NFTs, digital goods, or tokenized RWAs for sale on Ravenist. You represent and warrant that you have the legal right to sell the assets you list and that they do not infringe on the rights of third parties.

3.2 Bidding and Buying: Buyers may bid on or purchase assets listed on Ravenist. Bidders acknowledge that JustNFTs LLC has no responsibility or liability for online bidding, as transactions are processed on public blockchains (RVN, EVR, MEWC, NEOX). All sales are final unless otherwise specified in this Agreement.

3.3 Transaction Fees: JustNFTs LLC may charge transaction fees for buying, selling, or bidding, which will be clearly displayed at the time of the transaction. Additional blockchain network fees (e.g., gas fees) may apply and are the responsibility of the user.

3.4 Manual Confirmation: For security purposes, certain transactions (e.g., withdrawals from the custodial wallet, high-value sales) require manual confirmation by JustNFTs LLC and an OTP sent via email, SMS, or an authentication app.

3.5 Disputes: In the event of a dispute between buyers and sellers (e.g., misrepresentation of an asset), JustNFTs LLC may mediate at its discretion but is not obligated to resolve the dispute. Users are encouraged to resolve disputes directly. JustNFTs LLC is not liable for losses arising from disputes.

4. Custodial Wallet and Asset Management

4.1 Storage: JustNFTs LLC provides a custodial wallet for storing your RVN, NFTs, and other assets. Private keys are securely stored in a combination of online and offline systems to prevent unauthorized access.

4.2 Withdrawals: To withdraw assets from your custodial wallet, you must request a withdrawal, which requires manual confirmation by JustNFTs LLC and an OTP sent via email, SMS, or an authentication app (e.g., Google Authenticator). JustNFTs LLC reserves the right to delay or deny withdrawals for security or legal reasons (e.g., suspected fraud, AML/CTF compliance).

4.3 Risk of Loss: While JustNFTs LLC takes reasonable measures to secure your assets, you acknowledge that there are inherent risks in using a custodial wallet, including hacking, insider threats, or system failures. JustNFTs LLC is not liable for any loss of assets due to these risks, except in cases of gross negligence or willful misconduct by JustNFTs LLC.

5. Intellectual Property

5.1 Ownership of Services: The Ravenist website, Services, and all associated content (e.g., logos, trademarks, design) are the exclusive property of JustNFTs LLC and its licensors. You may not copy, modify, or distribute any part of the Services without prior written consent from JustNFTs LLC.

5.2 User Content: By listing assets on Ravenist, you grant JustNFTs LLC a non-exclusive, worldwide, royalty-free license to display, promote, and distribute your assets (e.g., images, descriptions) on the Website, social media, and community channels (e.g., Discord) for the purpose of operating and promoting the Services.

5.3 Third-Party Rights: You represent and warrant that your listed assets do not infringe on the intellectual property rights of third parties. JustNFTs LLC reserves the right to remove listings that violate this provision and may suspend or terminate your account.

5.4 Intellectual Property Rights for Digital Goods: When selling digital goods (e.g., NFTs, digital art), sellers must specify whether the sale includes the transfer of intellectual property (IP) rights or grants a license to the buyer. If not specified:

5.5 DMCA Policy: JustNFTs LLC complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed by a listing on Ravenist, please submit a takedown notice to [email protected] with the following information:

6. Community Governance

6.1 Participation: Ravenist Token (RT) holders may participate in community governance, including voting on platform direction (e.g., new features, supported blockchains) and attending quarterly meetings (virtual or in-person). Participation requires holding a minimum number of RT, as determined by JustNFTs LLC.

6.2 Verification: Governance participation is verified via wallet token balance. JustNFTs LLC may publicly display wallet addresses and voting activity in the activity log or community channels for transparency. By participating in community governance, you consent to this public display, though you may have certain rights to object under applicable privacy laws (see Section 13 Privacy and Data Protection).

6.3 Decision-Making Authority: While RT holders may vote and provide input, JustNFTs LLC retains the final decision-making authority on all platform operations and governance matters.

7. Risk Disclosures

7.1 Blockchain Risks: Transactions on RVN, EVR, MEWC, and NEOX blockchains are subject to risks, including network congestion, high gas fees, and potential forks. JustNFTs LLC is not responsible for blockchain performance or any resulting losses.

7.2 Market Risks: The value of NFTs, digital goods, and tokenized RWAs is highly volatile and speculative. You may lose all or part of your investment. JustNFTs LLC does not provide financial advice, and you are solely responsible for researching and understanding the risks before buying, selling, or bidding on assets.

7.3 Regulatory Risks: The regulatory environment for cryptocurrencies, NFTs, and tokenized RWAs is evolving. Changes in laws or regulations (e.g., tax, securities, AML/CTF, privacy laws like GDPR and CCPA) may impact your ability to use the Services or the value of your assets. JustNFTs LLC is not liable for any losses resulting from regulatory changes.

7.4 Third-Party Risks: When interacting with third parties (e.g., buyers, sellers, blockchain networks, KYC providers like Blockpass), you may face risks such as fraud, misrepresentation, or data breaches. JustNFTs LLC is not responsible for the actions of third parties or any resulting losses, except in cases of gross negligence or willful misconduct by JustNFTs LLC.

7.5 Phishing and Security Risks: The NFT and cryptocurrency space is a target for phishing attacks, scams, and other malicious activities. You are responsible for verifying the authenticity of communications, links, and transactions. JustNFTs LLC is not liable for losses resulting from phishing or other security breaches outside our control.

7.6 No Insurance: Assets stored in your custodial wallet or transacted on Ravenist are not insured by JustNFTs LLC or any government-backed insurance (e.g., FDIC). You bear the full risk of loss.

8. Fees and Payments

8.1 Transaction Fees: JustNFTs LLC may charge fees for buying, selling, bidding, or withdrawing assets. These fees will be clearly displayed at the time of the transaction. Fees are non-refundable unless otherwise stated.

8.2 Blockchain Network Fees: Transactions on RVN, EVR, MEWC, and NEOX blockchains may incur network fees (e.g., gas fees), which are determined by the respective blockchain networks and not by JustNFTs LLC. You are responsible for paying these fees.

8.3 Royalty Fees: Sellers may set royalty fees on their assets (e.g., 3%–10%), which are automatically deducted from secondary sales and paid to the original creator. JustNFTs LLC facilitates these payments but is not responsible for ensuring their distribution if blockchain or wallet issues prevent payment.

8.4 Ravenist Token Fees: Certain features (e.g., listing assets, accessing premium features) require payment in Ravenist Tokens (RT). RT fees are non-refundable and subject to change at JustNFTs LLC’s discretion.

8.5 Payment Methods: Payments for assets are made in RVN or other supported cryptocurrencies. JustNFTs LLC does not accept fiat currency payments directly but may partner with third-party payment processors in the future.

8.6 Tax Obligations: You are responsible for reporting and paying any taxes (e.g., capital gains, sales tax) arising from your use of the Services. JustNFTs LLC may report transactions to tax authorities as required by law but is not responsible for calculating or collecting taxes on your behalf.

9. Termination and Suspension

9.1 Termination by User: You may terminate your account at any time by contacting [email protected]. Upon termination, you must withdraw any assets from your custodial wallet within 30 days, after which JustNFTs LLC may charge a storage fee or transfer unclaimed assets to a designated wallet, subject to applicable laws. You may also request the deletion of your personal data as outlined in Section 13 Privacy and Data Protection.

9.2 Termination by JustNFTs LLC: JustNFTs LLC may suspend or terminate your account at its sole discretion, with or without notice, if:

9.3 Effect of Termination: Upon termination, your access to the Services will cease. JustNFTs LLC may retain certain data (e.g., transaction records, KYC data) as required by law (e.g., AML/CTF compliance, tax reporting, or privacy law obligations) or for audit purposes. Blockchain data (e.g., wallet addresses, transaction details) will remain public and immutable. See Section 13 Privacy and Data Protection for details on data retention and your rights.

9.4 Negative Account Status: If your account is terminated or suspended due to insufficient funds (e.g., failure to cover transaction fees), your account will be placed in a negative status until the outstanding balance is paid. JustNFTs LLC may restrict access to the Services until the balance is cleared.

10. Limitation of Liability

10.1 No Warranties: The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. JustNFTs LLC does not guarantee the accuracy, completeness, or reliability of any content or data provided through the Services.

10.2 Limitation of Liability: To the fullest extent permitted by law, JustNFTs LLC, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services, even if JustNFTs LLC has been advised of the possibility of such damages.

10.3 Cap on Liability: JustNFTs LLC’s total liability to you for any claim arising out of or relating to this Agreement or the Services will not exceed the greater of: (a) the total fees paid by you to JustNFTs LLC in the 12 months preceding the claim, or (b) $100 USD.

10.4 Exceptions: The above limitations do not apply to liability arising from JustNFTs LLC’s gross negligence, willful misconduct, or violation of applicable law (e.g., consumer protection laws, privacy laws like GDPR or CCPA).

11. Indemnification

11.1 User Indemnity: You agree to indemnify, defend, and hold harmless JustNFTs LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

11.2 Procedure: JustNFTs LLC will notify you of any claim subject to indemnification and allow you to control the defense, provided you do so competently and in good faith. JustNFTs LLC reserves the right to assume control of the defense at its own expense.

12. Dispute Resolution and Governing Law

12.1 Governing Law: This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. However, if you are a resident of the European Union, Canada, Japan, or another jurisdiction with mandatory consumer protection or privacy laws (e.g., GDPR, PIPEDA, APPI), you may also benefit from those protections, and nothing in this Agreement waives your rights under such laws.

12.2 Arbitration: Any dispute arising out of or relating to this Agreement or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Wilmington, Delaware, in English, and will be conducted by a single arbitrator. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver: You and JustNFTs LLC agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, collective action, or representative action against JustNFTs LLC, whether in arbitration or litigation.

12.4 Exceptions to Arbitration: Notwithstanding Section 12.2, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, enforce confidentiality obligations, or address violations of privacy laws (e.g., GDPR data protection injunctions).

12.5 Jurisdiction: For any disputes not subject to arbitration, you and JustNFTs LLC agree to submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware. However, if you are a resident of the European Union, you may bring a claim in the courts of your country of residence to enforce your rights under GDPR or other applicable laws.

13. Privacy and Data Protection

13.1 Commitment to Privacy: JustNFTs LLC is committed to protecting your privacy and complying with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) in the European Union, the California Consumer Privacy Act (CCPA) in California, the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada, and the Act on the Protection of Personal Information (APPI) in Japan. 13.2 Data We Collect: We collect and process the following types of personal data when you use the Services:

13.3 Transparency and Public Display: Ravenist operates with a focus on transparency. Certain data, such as wallet addresses, transaction details, usernames, user-provided email addresses or links in profile bios, login events, and voting activity, may be publicly displayed in our activity log (ravenist.com/activity) or community channels (e.g., Discord) to promote trust and accountability. By using the Services, you consent to this public display, but you may have the right to object or opt-out of certain displays (e.g., login events) as outlined below and in our Privacy Policy.

13.4 Your Privacy Rights: Depending on your jurisdiction, you may have the following rights regarding your personal data:

13.5 Opt-Out of Public Display: You may opt-out of the public display of certain data, such as login events (e.g., “ArtvisionNFT logged into Ravenist”), by contacting [email protected]. This opt-out does not apply to blockchain data (e.g., wallet addresses, transaction details), which is inherently public and immutable.

13.6 Data Retention: We retain personal data only for as long as necessary to fulfill the purposes outlined in this Agreement and our Privacy Policy, or as required by law (e.g., AML/CTF compliance, tax reporting). For example:

13.7 International Data Transfers: JustNFTs LLC is based in the United States, and your personal data may be transferred to and processed in the U.S. or other countries. We implement safeguards to ensure compliance with GDPR and other laws, such as Standard Contractual Clauses (SCCs) for EU data transfers. For more details, see our Privacy Policy.

13.8 Third-Party Data Sharing: We may share your data with third parties in the following circumstances:

13.9 Children’s Privacy: The Services are not intended for users under the age of 18, and we do not knowingly collect personal data from children under 16 (or under 13 in California). If we become aware that a child has provided personal data, we will delete it immediately.

14. Sales Data & Activity Log

14.1 Transparency: JustNFTs LLC operates Ravenist with a focus on transparency. We track and publicly display sales data in our activity log (ravenist.com/activity) and community channels (e.g., Discord), including wallet addresses, transaction IDs (TX IDs), prices, quantities, items, usernames, social media handles, email addresses (if added to your profile bio), external links (if added to your profile bio), login events (e.g., “ArtvisionNFT logged into Ravenist”), and bounty rewards (e.g., “3 RT issued to ArtvisionNFT for resolving collection sorting issue”). You consent to this public display by using the Services, but you may opt-out of certain displays (e.g., login events) as outlined in Section 13.5 and our Privacy Policy.

14.2 Imported Data: Some sales data may be imported from external sources (e.g., other marketplaces, blockchain explorers). JustNFTs LLC does not guarantee the accuracy of imported data, and users should conduct their own research before acting on such data.

14.3 No Financial Advice: Sales data, market cap rankings (e.g., Total Supply × Last Recorded Sale Price), and other metrics displayed on Ravenist are for informational purposes only and do not constitute financial advice. You are solely responsible for your investment decisions.

 

15. Third-Party Links and Content

15.1 External Links: The Services may contain links to third-party websites or services, including those added by users in their profile bios (e.g., social media handles, external URLs). JustNFTs LLC is not responsible for the content, accuracy, or practices of these third-party websites or services. You access such links at your own risk, and JustNFTs LLC does not endorse, control, or warrant the safety, legality, or reliability of any third-party content. We are not liable for any damages, losses, or privacy violations arising from your interaction with third-party websites or services, including but not limited to malware, data breaches, or illegal content.

15.2 User Responsibility: You are solely responsible for ensuring that any external links or content you add to your profile bio comply with applicable laws (e.g., intellectual property, privacy, consumer protection) and do not contain harmful, misleading, or prohibited material (e.g., malware, fraudulent links). JustNFTs LLC reserves the right to remove any user-provided links or content that violate this Agreement or pose a risk to other users, at our sole discretion.

16. Miscellaneous

16.1 Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and JustNFTs LLC regarding the Services and supersedes all prior agreements, whether written or oral.

16.2 Amendments: JustNFTs LLC may amend this Agreement at any time by posting the updated terms on the Ravenist website. We will notify you of material changes via email or a notice on the Website at least 30 days before they take effect, unless immediate changes are required for legal or security reasons. If you are in the EU, we will provide specific notice of changes impacting your GDPR rights. Your continued use of the Services after the updated terms take effect constitutes your consent to the changes.

16.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.4 Waiver: JustNFTs LLC’s failure to enforce any right or provision of this Agreement will not constitute a waiver of such right or provision unless acknowledged in writing.

16.5 Assignment: You may not assign or transfer your rights or obligations under this Agreement without prior written consent from JustNFTs LLC. JustNFTs LLC may assign this Agreement to an affiliate or successor in connection with a merger, acquisition, or sale of assets.

16.6 Force Majeure: JustNFTs LLC will not be liable for any failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, internet outages, blockchain network failures (e.g., forks, downtime, or congestion on RVN, EVR, MEWC, NEOX), or cyberattacks (e.g., hacking attempts, distributed denial-of-service attacks).

16.7 Notices: Notices from JustNFTs LLC to you will be sent via email to the address associated with your account or posted on the Ravenist website. Notices from you to JustNFTs LLC must be sent to [email protected]. For privacy-related requests (e.g., GDPR, CCPA rights), please contact [email protected].

16.8 Survival: Provisions of this Agreement that by their nature should survive termination (e.g., Sections 5, 10, 11, 12, 13, 15) will continue to apply after termination.

Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including our Privacy Policy. If you do not agree, you are not authorized to use the Services.
